Terms of Service

1. Acceptance of Terms

By creating an account, clicking or selecting a button or checkbox indicating acceptance, purchasing a subscription, posting a listing, contacting another user through the platform, or otherwise using PA Gun Trader after being presented with these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and any policies expressly incorporated herein, including the Compliance Notice and Privacy Policy.

If you are using PA Gun Trader on behalf of a business, federally licensed firearms dealer, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

IMPORTANT: THESE TERMS INCLUDE A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 11. PLEASE REVIEW THAT SECTION CAREFULLY.

2. What We Are — and Aren't

PA Gun Trader provides technology that allows users to advertise items and communicate with prospective buyers and sellers. PA Gun Trader is not a party to any transaction between a buyer and seller. Except for subscription fees paid to PA Gun Trader for access to platform services, transactions involving listed items are arranged directly between users and occur independently of PA Gun Trader.

PA Gun Trader does not:

  • purchase or sell firearms or other listed items;
  • take title to firearms or other listed items;
  • take possession, custody, or control of firearms or other listed items;
  • accept or process the purchase price for a firearm or other listed item;
  • hold firearm transaction proceeds in escrow;
  • ship or deliver firearms or other listed items;
  • act as a buyer's or seller's agent, broker, consignee, or representative;
  • negotiate the purchase price or material transaction terms on behalf of users;
  • conduct firearm background checks;
  • determine whether a person is legally eligible to purchase, receive, transfer, own, or possess a firearm;
  • perform any legally required firearm transfer; or
  • guarantee that any user, listing, firearm, other item, or proposed transaction complies with applicable law.

PA Gun Trader's provision of platform services, account access, identity information, seller information, reviews, or other marketplace features does not constitute approval, certification, or verification of the legality of any firearm transaction.

Buyers and sellers are solely responsible for evaluating one another and ensuring that transactions comply with all applicable federal, state, and local laws, including applicable background-check, licensed-dealer, residency, age, transfer, recordkeeping, and other legal requirements. 3. Eligibility

You must be at least 18 years old to create an account or use PA Gun Trader. You must also be legally permitted to buy, sell, or possess the type of item you're listing or inquiring about, and you must meet any applicable age requirements under federal and Pennsylvania law for that specific item.

By creating an account or using PA Gun Trader, you represent and warrant that:

  • you are legally capable of entering into these Terms;
  • all information you provide to PA Gun Trader is accurate and not materially misleading;
  • you will comply with all applicable federal, state, and local laws;
  • you will not use PA Gun Trader to circumvent or evade any legally required background check, licensed-dealer transfer, age restriction, residency requirement, recordkeeping requirement, or other legal requirement;
  • you will not knowingly participate in an unlawful firearm sale, purchase, possession, shipment, delivery, or transfer; and
  • you will not knowingly facilitate a transaction for or on behalf of a person legally prohibited from receiving or possessing the item involved.

Eligibility to create or maintain a PA Gun Trader account does not mean that PA Gun Trader has determined that you are legally eligible to purchase, receive, transfer, own, or possess a firearm.

Seller representations. If you list an item for sale, you represent and warrant that: you lawfully possess and have authority to offer the item for sale or transfer; your listing accurately describes the item in all material respects; the item may lawfully be offered for sale; you will comply with all legally required transfer procedures before transferring possession; you will not knowingly transfer a firearm to a prohibited person; you will not use PA Gun Trader to circumvent applicable law; and, if you identify yourself as a federally licensed firearms dealer or other licensed business, you hold and will maintain all licenses legally required for your activities.

Buyer representations. If you contact a seller or seek to acquire an item through a listing, you represent and warrant that: you are legally eligible to seek and, if the transaction proceeds, receive and possess the item; you will comply with applicable age, residency, transfer, and background-check requirements; you will complete all legally required transfer procedures before taking possession; you will not use PA Gun Trader to evade an FFL or other legally required transfer process; and you will not acquire a firearm as part of an unlawful straw transaction or for a person legally prohibited from receiving or possessing it.

4. Your Account

You're responsible for the accuracy of your listings and profile information, and for any activity under your account. You are responsible for maintaining the confidentiality and security of your account credentials and for promptly notifying PA Gun Trader if you believe your account has been accessed or used without authorization.

PA Gun Trader may, in its discretion and to the extent permitted by law, investigate reported or suspected violations, remove or restrict listings or content, limit account functionality, warn users, or suspend or terminate accounts when PA Gun Trader reasonably believes that a user has violated these Terms or applicable law, misrepresented material information, created material legal, regulatory, fraud, security, or safety risk, or otherwise engaged in conduct harmful to users or the platform. PA Gun Trader is not required to independently investigate or verify every user, listing, report, or proposed transaction.

5. Subscription & Billing

Some features require a paid membership, billed on a recurring monthly or annual basis through our payment processor. Subscriptions automatically renew at the then-current price until cancelled. You can cancel anytime from your account settings; cancellation takes effect at the end of your current billing period, and you'll keep access until then. We don't provide refunds for partial billing periods, except where required by law or at our discretion. We may change subscription pricing with advance notice; continued use after a price change means you accept the new price.

Subscription fees compensate PA Gun Trader solely for access to and use of platform services. Subscription fees are not firearm purchase payments, brokerage commissions, success fees, transaction fees, escrow payments, or compensation for arranging or completing any particular firearm sale or transfer. PA Gun Trader does not process payment between a buyer and seller for any firearm or other listed item. Users are responsible for independently arranging any lawful payment associated with a transaction.

Unless otherwise stated when a subscription is purchased, subscriptions automatically renew for successive periods of the same duration until cancelled. You authorize PA Gun Trader's payment processor to charge the applicable subscription fee and any disclosed taxes to your selected payment method. PA Gun Trader may suspend paid features if payment cannot be processed or amounts properly due remain unpaid.

6. Content You Submit

You keep ownership of the listings, photos, and other content you submit. By posting content, you grant PA Gun Trader a non-exclusive, royalty-free license to host, store, reproduce, format, modify solely for technical or display purposes, distribute, and display that content as reasonably necessary to operate, maintain, improve, promote, moderate, and protect the platform.

You represent and warrant that you own or possess all rights necessary to submit your content and that the content does not violate applicable law, these Terms, intellectual-property rights, privacy rights, or other rights of any third party. PA Gun Trader may remove, restrict, or decline to publish content that it reasonably believes violates these Terms, platform policies, applicable law, or presents material legal, security, or safety concerns.

7. Prohibited Conduct

You may not use PA Gun Trader to:

  • offer, solicit, purchase, sell, transfer, or facilitate an item or transaction prohibited by applicable law;
  • circumvent or attempt to circumvent any legally required background check, licensed-dealer transfer, sheriff transfer, or other legally required transfer procedure;
  • participate in or facilitate an unlawful straw purchase or transfer;
  • knowingly transact with or on behalf of a person legally prohibited from receiving or possessing the applicable item;
  • misrepresent your identity, age, residence, legal eligibility, ownership of an item, or authority to sell or transfer an item;
  • falsely represent that you hold an FFL or other license;
  • post a materially false, deceptive, fraudulent, or misleading listing;
  • offer an item that may not lawfully be possessed, sold, or transferred;
  • use PA Gun Trader to facilitate criminal conduct;
  • attempt to cause PA Gun Trader to receive, hold, transmit, or process the purchase price of a listed firearm contrary to platform functionality or policy;
  • harass, threaten, defraud, or impersonate another user;
  • scrape, crawl, harvest, or extract platform data except as expressly authorized;
  • interfere with or compromise the security or operation of the platform; or
  • engage in conduct that PA Gun Trader reasonably determines creates material legal, regulatory, fraud, security, or safety risk.

PA Gun Trader may report suspected unlawful activity to appropriate authorities when legally permitted or required.

8. Termination

You may stop using PA Gun Trader and delete your account at any time. We may suspend or terminate your account, with or without notice, if we believe you've violated these terms, posted prohibited content, or engaged in conduct that harms other users or the platform. PA Gun Trader may also restrict or terminate access when it reasonably believes continued access could create material legal, regulatory, fraud, security, or safety risk for PA Gun Trader, its users, or third parties. Termination or suspension does not affect obligations or liabilities accrued before termination.

Sections concerning intellectual-property licenses, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other provisions that by their nature are intended to survive shall survive termination.

9. Disclaimer & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We are not liable for the conduct of any buyer or seller, the condition, safety, or legality of any listed item, or any dispute arising from a transaction between users.

PA GUN TRADER DOES NOT WARRANT OR GUARANTEE THE IDENTITY, LEGAL ELIGIBILITY, LICENSING STATUS, RELIABILITY, CONDUCT, OR REPRESENTATIONS OF ANY USER; THE ACCURACY OR LEGALITY OF ANY LISTING; OR THE LEGALITY, SAFETY, QUALITY, CONDITION, OWNERSHIP, OR TRANSFERABILITY OF ANY LISTED ITEM. PA GUN TRADER DOES NOT WARRANT THAT A TRANSACTION ARRANGED THROUGH THE PLATFORM WILL BE COMPLETED OR THAT A BUYER OR SELLER WILL COMPLY WITH APPLICABLE LAW. YOU ARE RESPONSIBLE FOR CONDUCTING APPROPRIATE DUE DILIGENCE AND FOR COMPLYING WITH ALL LEGAL REQUIREMENTS APPLICABLE TO YOUR ACTIVITIES AND TRANSACTIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PA GUN TRADER AND THE PA GUN TRADER PARTIES (AS DEFINED BELOW) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PA GUN TRADER PARTIES WILL NOT BE LIABLE FOR CLAIMS OR LOSSES ARISING FROM OR RELATING TO USER CONDUCT, LISTINGS, FIREARM OR ITEM CONDITION, USER ELIGIBILITY, PAYMENTS BETWEEN USERS, SHIPPING OR DELIVERY ARRANGED BY USERS, BACKGROUND CHECKS, FFL OR OTHER TRANSFER PROCEDURES, OR A USER'S FAILURE TO COMPLY WITH APPLICABLE LAW. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).

The foregoing limitations apply to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

10. Indemnification

You agree to indemnify, defend, and hold harmless PA Gun Trader, its owners, officers, directors, employees, contractors, and agents (collectively, the "PA Gun Trader Parties") from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with: (a) your access to or use of the platform; (b) your listings or other content; (c) your violation of these terms; (d) your violation of any law or the rights of a third party; or (e) any transaction, dispute, or interaction between you and another user.

Without limiting the foregoing, this indemnification obligation includes, to the extent permitted by law, claims arising from or relating to your purchase, sale, possession, shipment, delivery, or transfer of a firearm or other listed item; your failure to complete any legally required background check or transfer procedure; your misrepresentation of legal eligibility or licensing status; or your use of the platform to facilitate prohibited conduct.

PA Gun Trader may assume the exclusive defense and control of any matter subject to indemnification, at the indemnifying user's expense to the extent permitted by law. The user shall reasonably cooperate in the defense. No user may settle a claim in a manner that admits liability or imposes an obligation upon a PA Gun Trader Party without PA Gun Trader's prior written consent.

11. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A JUDGE OR JURY AND YOUR ABILITY TO PARTICIPATE IN A CLASS ACTION.

Except for disputes expressly excluded below, you and PA Gun Trader agree that any dispute, claim, or controversy arising out of or relating to these Terms, the platform, your account, your subscription, your use of PA Gun Trader, or the relationship between you and PA Gun Trader will be resolved through final and binding individual arbitration rather than in court. Before initiating arbitration, the party asserting a claim shall provide written notice describing the dispute and requested relief and allow the other party a reasonable opportunity to attempt to resolve the matter informally.

Arbitration shall be administered by the American Arbitration Association ("AAA") under the AAA rules applicable to the nature of the dispute, as modified by these Terms. Unless the parties agree otherwise or applicable law requires another procedure, arbitration shall take place in Delaware County, Pennsylvania. Proceedings may be conducted by telephone, videoconference, written submissions, or another method permitted by the applicable rules. Either party may bring an individual claim in a court of competent small-claims jurisdiction if the claim qualifies and remains solely on an individual basis.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PA GUN TRADER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. TO THE EXTENT A DISPUTE IS SUBJECT TO ARBITRATION, YOU AND PA GUN TRADER EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

Arbitration filing, administrative, and arbitrator fees shall be allocated in accordance with applicable AAA rules and applicable law. The arbitrator may award any individual remedy or relief otherwise available in a court of competent jurisdiction, subject to these Terms and applicable law. Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property, confidential information, platform security, or prevent imminent unlawful conduct pending final resolution of the underlying dispute. If any portion of this arbitration provision is found unenforceable, the remaining provisions shall remain effective to the maximum extent permitted by law, except where the unenforceable provision cannot be severed without materially altering the agreement to arbitrate.

12. Governing Law

Except to the extent preempted or otherwise required by federal law, these terms and any dispute arising out of or relating to them are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. For any dispute not subject to arbitration, and except where applicable law requires otherwise, the parties consent to personal jurisdiction and venue in the state or federal courts having jurisdiction in or over Delaware County, Pennsylvania.

13. Contact

PA Gun Trader may provide notices to users electronically through the platform, at the email address associated with an account, or through another reasonable method permitted by law. Users are responsible for maintaining accurate contact information associated with their accounts.

14. Firearms Law Compliance

PA Gun Trader is not a substitute for an FFL, law-enforcement agency, governmental authority, or legal adviser. Users are responsible for determining and complying with the laws applicable to their conduct and transactions.

Where federal, Pennsylvania, or other applicable law requires that a firearm transaction be completed through a federally licensed firearms dealer, sheriff, law-enforcement agency, or other authorized person or process, users must complete the legally required procedure before possession is transferred. A transaction initiated through PA Gun Trader does not exempt any user from an applicable background check, FFL transfer, residency requirement, age restriction, recordkeeping requirement, or other legal obligation.

Transactions involving residents of different states may be subject to additional federal and state requirements. Users are responsible for determining and satisfying those requirements before completing a transaction. Registration, account verification, identity verification, seller verification, membership status, or other platform verification does not constitute a firearm background check or establish that a user is legally eligible to purchase, receive, transfer, own, or possess a firearm.

If a user is uncertain about the legal requirements applicable to a proposed transaction, the user should consult an appropriately licensed FFL, applicable governmental authority, or qualified legal counsel before proceeding.

15. Law Enforcement & Legal Process

PA Gun Trader may preserve, access, review, or disclose account information, communications, listings, or other information when PA Gun Trader reasonably believes doing so is necessary or appropriate to comply with applicable law or valid legal process; respond to a subpoena, warrant, court order, or lawful governmental request; investigate suspected violations of these Terms or applicable law; prevent, investigate, or address fraud, security concerns, or suspected unlawful activity; protect the rights, property, or safety of PA Gun Trader, its users, or third parties; or enforce these Terms. PA Gun Trader may preserve information when reasonably necessary in anticipation of litigation, regulatory inquiry, law-enforcement request, or another legal obligation.

16. No Agency or Partnership

Nothing contained in these Terms creates any fiduciary, agency, brokerage, partnership, joint venture, employment, franchise, or similar relationship between PA Gun Trader and any user. No user has authority to bind PA Gun Trader or make any representation, warranty, or commitment on PA Gun Trader's behalf.

17. Changes to Terms

PA Gun Trader may modify these Terms from time to time. When changes are material, PA Gun Trader will provide notice through the platform, by email, or through another reasonable method. Where legally appropriate, PA Gun Trader may require users to affirmatively accept materially revised Terms before continuing to use some or all platform features. The "Last updated" date identifies the most recent version of these Terms. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law and subject to any additional assent mechanism implemented by PA Gun Trader.

18. Miscellaneous

These Terms, together with the Privacy Policy, Compliance Notice, and any other policies expressly incorporated by reference, constitute the entire agreement between you and PA Gun Trader concerning use of the platform. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in effect, except as otherwise expressly provided in the arbitration section. PA Gun Trader's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that or any other provision.

Users may not assign or transfer their rights or obligations under these Terms without PA Gun Trader's prior written consent. PA Gun Trader may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all relevant assets, or other lawful transfer of its business. Headings are provided for convenience only and do not affect interpretation.
